Consulting Services
Service Description
Standard Labs LLC provides React and Next.js consulting services including but not limited to:
- Performance optimization
- TypeScript migrations
- Architecture design and review
- Code review and best practices implementation
- Technical training and mentoring
No Guarantees
While we strive to provide high-quality consulting services, we make no guarantees regarding:
- Specific performance improvements or outcomes
- Compatibility with all third-party services or systems
- Bug-free code or implementations
- Achievement of specific business objectives
Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information about their systems and requirements
- Maintaining appropriate backups of their code and data
- Testing any implementations in non-production environments
- Obtaining necessary permissions for system modifications
Intellectual Property
Work Product Ownership
Unless otherwise specified in a separate consulting agreement:
- Code written specifically for your project becomes your property upon full payment
- General methodologies, frameworks, and pre-existing intellectual property remain our property
- You grant us the right to use generalized knowledge gained from our work for future projects
Third-Party Dependencies
Any third-party libraries, frameworks, or services recommended or implemented are subject to their respective licenses and terms. We are not responsible for changes to third-party services that may affect your project.
Limitation of Liability
Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. STANDARD LABS LLC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN.
Limitation of Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, STANDARD LABS LLC SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THIS SERVICE, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Payment Terms
Consulting Fees
Consulting fees will be specified in separate service agreements. General terms include:
- Payment is due within 30 days of invoice date
- Late payments may incur a 1.5% monthly service charge
- Work may be suspended for accounts more than 30 days past due
Dispute Resolution
Payment disputes must be raised within 30 days of invoice date. We will work in good faith to resolve any billing issues promptly.
Confidentiality
We understand that consulting work may involve access to confidential information. We agree to:
- Maintain the confidentiality of proprietary information
- Use client information only for the purpose of providing services
- Not disclose client information to third parties without consent
- Return or destroy confidential materials upon request
Termination
By You
You may terminate your use of our Service at any time. Any outstanding consulting agreements will be governed by their specific terms.
By Us
We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Governing Law
These Terms shall be interpreted and governed by the laws of the State of Washington, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in King County, Washington.
Professional Standards
Scope of Services
Our consulting services are limited to technical aspects of React and Next.js development. We do not provide:
- Legal advice regarding software licensing or compliance
- Security auditing or penetration testing
- Database administration or infrastructure management
- Project management or business strategy consulting
Professional Conduct
We maintain professional standards in all client interactions and expect the same in return. We reserve the right to terminate consulting relationships that involve harassment, discrimination, or unprofessional conduct.
Indemnification
You agree to defend, indemnify, and hold harmless Standard Labs LLC and its employees from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Service
- Your violation of any term of these Terms
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
